These Terms and Conditions (“Agreement”) govern the use of services provided by True Dev, a brand operating under True Group Holdings Co., Ltd., a registered company in Bangkok, Thailand (“True Dev”, “we”, “us”, or “our”). By engaging with our services, the client (“Client”, “you”, or “your”) agrees to be bound by the following terms.
True Dev provides custom software development, website and application development, IT consulting, system integration, and related digital services. Services may be rendered as fixed-price projects or ongoing consulting engagements, subject to a written agreement or approved proposal.
All deliverables will be specified in a project scope or written agreement. Some services may involve the use of third-party licenses, APIs, plugins, or libraries. The Client is responsible for all license fees, terms, and limitations associated with third-party components unless otherwise agreed.
Unless expressly agreed in writing, hosting, domain registration, and infrastructure responsibilities lie with the Client. If True Dev agrees to provide hosting or infrastructure, separate terms and associated fees shall apply.
All projects require an upfront payment. The amount and payment structure (e.g., full, 50/50 split, or milestone-based) will be detailed in the proposal or agreement. No work will commence before the initial payment is received. Late payments may incur additional fees and may result in project delays or suspension.
All fees are non-refundable unless otherwise stated in writing. The Client is responsible for all applicable taxes, bank fees, and currency conversion costs.
Upon completion, deliverables shall be submitted for review. If no written objections are received within seven (7) days, the project shall be deemed accepted.
True Dev retains the right to use accepted and completed work for portfolio or promotional purposes, unless otherwise agreed in writing.
Post-delivery support and maintenance are not included unless explicitly stated in the agreement. Clients may purchase support packages separately, based on scope and duration.
Unless otherwise agreed, intellectual property rights to the custom-developed software, designs, and code shall transfer to the Client upon full payment. However, all tools, processes, reusable code, and internal frameworks used in the development remain the property of True Dev.
True Dev agrees to treat all client information as confidential and will not disclose or use such information except as required to fulfill the project scope. Likewise, the Client agrees not to disclose True Dev’s methodologies, pricing, or internal processes.
True Dev complies with the Personal Data Protection Act (PDPA) of Thailand and applies reasonable measures to protect client data. Clients are responsible for the lawful collection and use of end-user data in their own applications.
True Dev shall not be held liable for any misuse, loss, or breach of data originating from third-party services, client-side misconfigurations, or client negligence.
To the fullest extent permitted by law, True Dev shall not be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, data, business opportunity, or reputation.
We accept no liability for project delays, data loss, system downtime, third-party failures, or force majeure events.
Either party may terminate the agreement in writing with a 14-day notice, unless otherwise stated in the specific project contract. In case of termination, the Client shall pay for all completed work and expenses incurred up to the termination date.
This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Bangkok.
True Dev reserves the right to update or amend these Terms and Conditions at any time without prior notice. The latest version will always be available on our website. Continued use of our services constitutes acceptance of the revised terms.
