These Terms and Conditions ("Terms") govern your use of the website at https://truedev.co.th (the "Site") and the services provided by True Group Holdings Co., Ltd., operating under the trade name "True Dev" ("we," "our," or "the Company"). By accessing our Site or engaging our services, you agree to be bound by these Terms.
1. Services
True Dev provides software development, design, consulting, hosting, maintenance, and related technology services as described on our Site and in individual project agreements. The specific scope, deliverables, timeline, and pricing for each engagement will be outlined in a separate Statement of Work (SOW) or project proposal, which forms part of these Terms upon acceptance.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, provided that such changes will not materially affect any active project engagement without prior written notice.
2. Client Obligations
By engaging our services, you agree to:
- Provide timely access to necessary information, materials, content, and feedback required for the project
- Designate a primary point of contact with authority to approve deliverables and make project decisions
- Review and approve deliverables within the timeframes specified in the SOW (default: 5 business days)
- Ensure that all materials provided to us do not infringe on any third-party intellectual property rights
3. Payment Terms
Payment terms are as specified in each project proposal or SOW. Unless otherwise agreed in writing:
- A deposit of 30β50% of the total project value is required before work commences
- Milestone payments are due upon delivery and approval of the corresponding project phase
- Final payment is due upon delivery of the completed project, prior to handover of source code and deployment credentials
- Invoices are due within fourteen (14) days of issue unless otherwise stated
- Late payments incur a fee of 1.5% per month on the outstanding balance
All fees are quoted in Thai Baht (THB) or US Dollars (USD) as specified in the proposal. Prices are exclusive of applicable taxes, which will be added where required by law.
4. Intellectual Property
Client Ownership
Upon full and final payment, all intellectual property rights in the custom-developed deliverables (source code, designs, documentation) are assigned to the client, unless otherwise specified in the SOW.
Pre-existing IP
Any pre-existing intellectual property, frameworks, libraries, or tools owned by True Dev or third parties that are incorporated into the deliverables remain the property of their respective owners. The client is granted a perpetual, non-exclusive, royalty-free license to use such components as part of the delivered product.
Open Source
Where open-source software is used, it is subject to its respective license terms. We will disclose all significant open-source dependencies used in the project.
Portfolio Rights
Unless otherwise agreed, we reserve the right to reference the project in our portfolio, case studies, and marketing materials in a general manner that does not disclose confidential information.
5. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the engagement, including but not limited to business strategies, technical specifications, source code, user data, and financial information. This obligation survives the termination of the engagement for a period of three (3) years.
6. Warranties & Limitation of Liability
We warrant that all services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 60-day warranty period following project delivery during which we will fix any bugs or defects at no additional cost, provided the issues are within the original project scope.
To the maximum extent permitted by law, True Dev's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or the theory of liability.
7. Termination
Either party may terminate the engagement:
For Convenience
With thirty (30) days' written notice. The client will be responsible for payment for all work completed up to the date of termination.
For Cause
Immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within fifteen (15) days of receiving written notice thereof.
Upon termination, we will deliver all completed work and work in progress for which payment has been received. Any deposits for unperformed work will be refunded on a pro-rata basis, less reasonable administrative costs.
8. Force Majeure
Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, epidemics, government actions, war, terrorism, power failures, internet disruptions, or other force majeure events.
9. Dispute Resolution
The parties agree to first attempt to resolve any disputes through good-faith negotiation. If a resolution cannot be reached within thirty (30) days, the dispute shall be submitted to mediation administered by a mutually agreed mediator in Bangkok, Thailand. If mediation is unsuccessful, the dispute shall be submitted to binding arbitration in accordance with the rules of the Thai Arbitration Institute.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles. Any legal proceedings shall be brought exclusively in the courts of Bangkok, Thailand.
11. Amendments
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our Site or services after changes are posted constitutes your acceptance of the revised Terms.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
